Corporate/Transactional Attorney in Nebraska 2-10 Years

Cline Williams seeks a corporate/transactional attorney to join its Nebraska office, in either Lincoln or Omaha.  Specific areas of concentration include: 

Business/Corporate

  • Entity selection, formation and maintenance of corporations, limited liability companies, general and limited partnerships, and limited liability partnerships
  • Corporate maintenance, reorganization, recapitalizations, restructuring, reporting and governance matters
  • Business ethics and state law compliance
  • Buy-sell agreements, voting trusts
  • Business succession planning for closely held entities

Real Estate

  • Commercial real estate purchase and sale transactions
  • Zoning and land use
  • Real estate development
  • Real estate financing
  • Commercial leasing
  • Environmental issues
  • Construction contracts

Estate Planning/Probate

  • Preparation and review of wills, trusts, and financial and health care powers of attorney
  • Estate tax planning with credit shelter and marital trusts or use of portability to maximize estate tax exemptions
  • Family wealth transfers including “dynasty” trusts, “incentive” and social responsibility trusts
  • Lifetime gifting, including irrevocable life insurance trusts, annual exclusion gifts, and education trusts
  • Probate and post-mortem tax planning

Requirements include:

  • 2-10 years of relevant experience in Nebraska with a strong interest in corporate and transactional work
  • Excellent academic and professional credentials
  • Currently licensed to practice law in Nebraska
  • Ability to communicate complex matters concisely and effectively in oral and written forms
  • Effective analytical skills, attention to detail, and the ability to work effectively in a team environment
